1. Purpose of the Agreement

The Seller is authorized to promote and sell the artworks from the Structure of Absolute Time series via LXKeys.gallery and receive a commission on completed sales. Each painting in the series is a unique signed original, existing as a single copy.

2. Seller Status

The Seller acts as an independent contractor, without any subordination to LXKeys. The Seller is responsible for prospecting and promoting the artworks to clients.

3. Artworks and Edition

Each painting in the series is a unique signed original, delivered with an LXKeys Certificate of Authenticity. Each artwork is recorded in the official LXKeys Registry. The artwork remains the exclusive property of LXKeys until the order is confirmed and fully paid via LXKeys.gallery.

4. Sales Process

1. The Seller presents the artwork to clients at the fixed reference price.

2. Once an agreement is reached, the Seller places the order on LXKeys.gallery using their unique personal code.

3. The price is set for the unique artwork as determined by LXKeys.

4. The Seller pays the indicated amount, and the artwork is delivered directly to the end client, signed, with a Certificate of Authenticity, within a maximum of 14 days.

5. Price Tiers

Each painting in the series has a fixed reference price as a unique signed original. No tiered pricing applies.

6. Commission and Pricing

1. Standard commission: 25% of the reference price for the unique artwork sold.

2. Minimum price: The artwork may not be sold below the reference price.

7. Official Sales and Other Platforms

1. Only artworks ordered via LXKeys.gallery are part of the official unique signed originals.

2. Artworks sold on other platforms (e.g., Artmajeur) are not official, are not signed by the artist, and do not entitle the Seller to any LXKeys commission.

3. The Seller must inform the client that only orders via LXKeys.gallery are official.

8. Sales Limitation

Each Seller may sell the single unique artwork of the painting. LXKeys reserves the right to manage access to ensure the protection of the artwork’s artistic value.

9. Seller Obligations

- Promote the artworks honestly and professionally.

- Respect the fixed reference price and commission rules.

- Use their unique personal code for each order.

- Do not reproduce or use LXKeys images or content for external commercial purposes.

10. LXKeys Obligations

- Ensure delivery of the ordered artwork to the end client within a maximum of 14 days.

- Provide a Certificate of Authenticity and the artist’s signature for the official artwork.

- Maintain LXKeys.gallery operational for automated management of orders and commissions.

11. Duration and Termination

The agreement takes effect upon validation and remains valid until the complete sale of the series of unique artworks or until LXKeys terminates in case of breach of fixed pricing rules or misuse of the personal code.

12. Confidentiality and Intellectual Property

The Seller agrees not to disclose confidential information and acknowledges that all rights related to LXKeys images, texts, and materials remain the exclusive property of LXKeys.

13. Governing Law and Jurisdiction

This agreement is governed by English law. Any dispute shall be submitted to the competent courts of the United Kingdom.
